Terms & Conditions

APPLICATION

• 1.1 The general terms for sale and delivery mentioned below will be used in the extent where they do not deviate from written agreements between the two partners.

ADVICE AND OFFER

• 2.1 Scantool advise buyer only within its own field of experience and to its best knowledge at the time of advice, but make reservations to the fact that later acquired experience may lead to other solutions.
• 2.2 Advice take place only on basis of the information buyer has given us.
• 2.3 Offers are valid for 90 days from date of quotation subject to the goods being unsold.
• 2.4 By ordering or by termination of the deadline for the offer Scantool reserves the right to raise or alter the offer.
• 2.5 No one, including dealers, is authorized to make additions or changes in Scantools offer. Scantool assumes no responsibility for such.

ORDER

• 3.1 There is no final agreement between the partners, as Scantool has given acceptance in the form of order confirmation.
• 3.2 In the case that Scantools order confirmation do not correspond with the buyers order, the buyer must immediately make a complaint. Otherwise, the buyer will be bound by the content of the order confirmation.
• 3.3 No one, including dealers, is authorized to make additions or changes in Scantools order. Scantool assumes no responsibility for such.

PRICES

• 4.1 Prices in offers, order confirmations and contracts are current prices, excluding VAT, duties and installation. Scantool reserves the right to change prices in the event of significant changes in production costs, wages, raw materials, subcontracts, exchange rates, discount, and by events that are covered by section. 10

DELIVERY TIME

• 5.1 The time of delivery of the written order confirmation based on the condition that all technical details and formalities for the orders implementation at this time are available. Otherwise, the time of delivery count from the time when all conditions are put in order.
• 5.2 If delivery has not taken place 90 days after the date of delivery, the buyer is entitled to by written notice to Scantool, to cancel the agreement for the part of the delivery that could not, as provided in the agreement, has been put into service.
• 5.3 Should the buyer fail to receive supplies ready for delivery or part of them on the day agreed, the buyer is, if not otherwise agreed, nevertheless obliged to pay the payment as if the delivery had been made. Furthermore, Scantool can cancel the agreement and from buyer claim compensation for injury, which by the buyers neglect has been put on Scantool.
• 5.4 If the delay in delivery caused a section of. 10 mentioned event or the buyer's act or omission, extended delivery equivalent.

DELIVERY

• 6.2 Scantool delivers ex works. See also Incoterms the DDU and EXW.

TERMS OF PAYMENT

• 7.1 Payment must be made current month + 15 days net from the day of invoicing.
• 7.2 By orders under EUR 40,- net will be calculated a service charge of EUR 10,-
• 7.3 Scantool reserves the right to require the guarantee of payment before delivery.
• 7.4 Scantool reserves the ownership of the goods until payment is made. If buyer do not fulfil the terms of payment, Scantool has the right to take the goods back.
• 7.5 The consequences of items 6 that all costs associated with the etc are payable by the buyer. Does Scantool have expenses for this, the amount will be charged on the invoice.
• 7.6 Does buyer not pay in time, Scantool is entitled to charge interest on overdue payments of 2% per month from the day of payment.

• 7.7 If the buyer does not know arrears paid sum due Scantool are entitled to by written notice to the buyer to cancel the agreement or withhold delivery in whole or in part Scantool is in this connection entitled to change the terms of payment for future deliveries without notice.

GUARANTEE AND MISSING

• 8.1 For all products manufactured by Scantool, Scantool guarantee for labour- and material faults that do not derive from normal wear and tear. In the months calculated from the initialization, and not more than 18 months from delivery. The guarantee is only valid on condition that the product is properly installed in accordance with Scantools installation instructions and generally accepted practice.
• 8.2 For parts of products from subcontractor, as part of delivery, for example. electronic accessories, automatic, etc., are given the same guarantees as Scantool has from the subcontractor.
• 8.3 Where in guarantee time an error in the material or performance of any part of our product are proved, Scantool will free and as soon as possible on its own workshop and within normal working hours, make repairs and renovations as necessary. Cargo to and from Scantool and assembling are not included.
• 8.4 Scantool reserves the right not to receive products for repairs that are contaminated with toxic - or other environmental damaging media.
• 8.5 The buyer must, without delay after receipt review the supply to ensure that it is intact and in accordance with the ordered. (6 days)
• 8.6 The buyer can only rely on compensation for missing, if complaints are made without delay after the reception. (6 days)
• 8.7 Losses, expenses or costs in connection with purchase, reorder, repair, remove or similar measures with defective products or products in which Scantools products are made to a component, can not be invoked to Scantool.
• 8.8 Scantool is not responsible for loss of time, loss of profits or other indirect losses.

PRODUCT LIABILITY

• 9.1 Scantool must from buyer be made indemnify in the extent where seller is imposed the responsibility to third parties for such damage or such loss, as Scantool according to paragraph 9.2 and 9.3 is not responsible to the buyer.
• 9.2 Scantool is not responsible for damage to the real and personal property, which occurs while the products are in the buyer’s possession. Scantool is also not responsible for damage to the products produced by the buyer, or to the products, in which they are used.
• 9.3 Scantool is in no case responsible for working deficits, loss of profits or other economic losses. If a third party makes claims against one of the partners on the liability according to this section the partner shall immediately inform the other about it.

FREEDOM FROM RESPONSIBILITY

• 10.1 Scantool is entitled to by written notice to the buyer to cancel the agreement after completion within a reasonable time will be impossible for Scantool because of war, strike, lockout, political conditions or other force majeure, which are out of Scantool's control. The same applies to delay or lack of supply from the subcontractor. Scantool assume in these situations no liability to the buyer.

PLANS AND DESCRIPTIONS

• 11.1 All information on weight, size, capacity, price, technical and other data listed in catalogues, prospectuses, circulars, ads, images, and price lists are approximate and only binding for the extent expressly referred to them.
• 11.2 All the drawings and descriptions remain Scantools property and shall not, without permission be copied, reproduced, surrendered to or otherwise brought to the access of a third party. The ownership concerns drawings and descriptions that are necessary to put the buyer in a position to formulate, initiate, operate and maintain the supply will be passed to the buyer. However, Scantool can demand that they remain confidential.

DECISIONS OF ISSUES - ARBITRATION

• 12.1 Disputes on the occasion of the present terms and conditions of supply and their interpretation will be determined by arbitration and in accordance with Danish law, including habits and trade customs.

CLAIM

• 13.1 Goods are only approved at returning with an upfront agreement with Scantool, reason of returning should contain return no. and description.
• 13.2 The buyer is responsible of freight
• 13.3 There is a withhold of 20% of the invoice
• 13.4 By returning a claim with out reclaim no. there is a charge/fee of 70,- EUR
